A Terms of Service
1Introduction & acceptance
These Terms & Policy explain how Bytegauge Technologies Ltd (“Bytegauge”, “we”, “us” or “our”) works with you and looks after your information. They apply when you visit our website, request a quote, buy from or hire us, or enrol in TechAcademy.
By using our website or services, you agree to these terms. If you do not agree, please do not use them. If a written quote, invoice or contract signed with you says something different for a particular job, that document applies to that job.
In shortWe do honest work, tell you clearly what it costs, protect your information, and put things right when we get them wrong.
2About us & our services
Bytegauge was officially registered with the Corporate Affairs Commission of Nigeria in Lagos in 2013 and incorporated as a limited liability company, Bytegauge Technologies Ltd, in 2024. We are based in Lagos, Nigeria.
Our services include:
- Web design and website development
- Mobile app development
- Software development
- CCTV solutions
- EcoEnergy solutions (such as solar and inverter systems)
- Gadget sales and gadget repairs
- Digital advertising support
- TechAcademy tech training
3Quotes, orders & payments
- Quotes. A quote is our written estimate based on the information you give us. It stays valid for the period shown on it, or 14 days if none is stated. If the scope changes, the price may change too.
- Starting work. We begin once you accept the quote (a written message or email is enough) and pay any deposit or first payment shown on it.
- Payment. Prices are in Nigerian Naira (NGN) unless we agree otherwise. The payment schedule is set out in your quote or invoice. We may pause work or delivery while an invoice is overdue.
- Taxes. Prices exclude VAT unless stated, and VAT is added where the law requires it.
- Third-party costs. Items such as domain names, hosting, software licences, app store fees and courier charges are not included unless the quote says so.
- Pay safely. Please confirm our payment details through our official contact channels before you transfer money.
4Your responsibilities
So that we can deliver well and on time, you agree to:
- give us accurate and complete information, and respond to our questions promptly;
- provide the content, logos, access and approvals we need, when we need them;
- make sure you have the right to use any text, images, music, software or other material you give us;
- keep your passwords and account details safe;
- back up your own data and devices before handing them to us;
- give our team safe access to your premises for installations and site visits; and
- use what we deliver lawfully, including any laws about privacy, recording people and advertising.
5Intellectual property
- Your content stays yours. You keep ownership of the content, logos and materials you give us, and you allow us to use them to do the work.
- What you own after payment. Once you have paid in full, you own the custom work we create specifically for you. Until then, we keep ownership and may hold back final handover.
- What we keep. We keep our pre-existing tools, code libraries, templates and know-how. Third-party and open-source items, including content management systems such as Joomla, stay under their own licences.
- Portfolio. We may show finished work in our portfolio unless you ask us in writing not to.
- Our website. The Bytegauge name, logo and the content of our website belong to us. Please do not copy or reuse them without our permission.
6Service-specific terms
These extra terms apply to the service you buy, together with the rest of this page.
6.1 Web design, mobile apps & software
- The scope, milestones and number of revisions are set out in your quote. Extra changes are quoted separately.
- Timelines depend on you sending content and feedback on time.
- Where possible, domains and hosting are registered in your name. Third-party platforms, such as app stores and payment gateways, have their own rules and fees.
- We test our work carefully, but no software is completely free of faults. We will fix defects in what we delivered during the support period stated in your quote or contract.
- Ongoing hosting, maintenance and support are provided only if they are included in your quote or agreed separately.
6.2 CCTV & EcoEnergy solutions
- We usually start with a site survey, and the final quote is based on what we find on site.
- Equipment carries the manufacturer’s warranty where one is offered. Our installation work is covered as stated in your quote or receipt.
- Results depend on site conditions such as lighting, internet coverage, sunlight and how much power you use. Solar and inverter backup times are estimates, not guarantees.
- Cameras help deter and record incidents but cannot prevent crime. You are responsible for using them lawfully: do not record private areas, and display notices where appropriate.
- Please do not open, move or modify installed electrical or security equipment. Use a qualified technician.
6.3 Gadget sales
- Product photos and descriptions are a guide. Prices and availability can change until your order is confirmed.
- Delivery charges and timelines are shown at purchase or in your quote. Please inspect items on delivery and tell us about visible damage straight away.
- Warranty, faults and returns are covered in sections 8 and 9.
6.4 Gadget repairs
- We diagnose the fault and, where practical, give you a quote before we start. Any diagnostic fee is shown in advance.
- Please back up your data and remove any account locks or passcodes we ask for. We are not responsible for data loss during a repair.
- Some devices, especially those with water damage or earlier repairs, carry a risk of further failure. We will tell you before we proceed.
- Repairs include the warranty stated on your repair receipt, covering the repaired fault and replaced parts.
- Please collect your device within the period stated on your repair receipt. After we notify you and allow a reasonable time, we may charge fair storage costs as the law allows.
6.5 TechAcademy
- Your place is confirmed once the fees due are paid. Class times, venue or online access are shared at enrolment.
- We expect respectful conduct. We may remove a student who repeatedly disrupts classes, after a warning.
- Certificates are issued when attendance and assessment requirements are met.
- We teach and support you, but we cannot guarantee a job, income or business result.
- You keep ownership of your own projects. We will only display them with your permission.
- Students under 18 need a parent or guardian’s consent to enrol.
7Delivery, timelines & changes
Timelines are our best estimates. Delays caused by late feedback, missing content, third parties or events beyond our control can move them, and we will keep you informed. If you want changes after approving the scope, tell us in writing and we will confirm any change to price or timing before we go ahead.
When we deliver work for review, please check it within the period in your quote. If you do not reply, we will follow up with you before treating it as accepted.
8Cancellations, refunds & returns
Nothing here takes away your rights under Nigerian consumer law, including the Federal Competition and Consumer Protection Act 2018. We do not operate a “no return, no refund” policy.
Products (gadgets and equipment)
- If an item is faulty, not as described, or does not do what it is meant to do, tell us as soon as you notice, ideally within 7 days of delivery, with your receipt or order details. We will work with you to repair, replace, exchange or refund. Reporting later does not remove your legal rights.
- If you simply change your mind, taking an item back is at our discretion. Where we agree, it must be unused, in its original packaging and with proof of purchase.
- Items made or configured specially for you cannot be returned for a change of mind once work has started, but faults will still be put right.
Services (websites, apps, software, installations, advertising)
- Before work starts: you can cancel and we will refund what you paid, less any third-party costs we could not recover.
- After work has started: you pay for the work completed up to cancellation plus unrecoverable third-party costs, and we refund any remaining balance.
- If we fall short: if our service is not delivered as agreed or to a reasonable standard, we will first put it right. If we cannot, we will refund a fair amount for the part that was not delivered or was defective.
Gadget repairs
If we cannot fix the fault we diagnosed, you do not pay for the repair itself. A diagnostic fee or parts already ordered for you may still apply, as shown in your quote.
TechAcademy
If you withdraw before a course starts, we refund the fees you paid less any unrecoverable costs. Once classes begin, fees for the current course are not refunded, unless we cancel or cannot provide the course or the law requires otherwise. Where possible we will let you join a later class instead.
How to ask for a refund
Contact us with your receipt or invoice and a short description of the problem. Approved refunds are paid by the same method you used where possible, within a reasonable time. If we cannot agree, you may contact the Federal Competition and Consumer Protection Commission (FCCPC).
9Warranties & disclaimers
- We provide our services with reasonable care and skill.
- We cannot promise that websites, apps or systems will run without interruption or errors, or that they will deliver particular results such as search rankings, sales or website traffic.
- Products and services supplied by other companies, such as hosting, networks, payment services and manufacturers, are subject to those companies’ own terms and warranties.
- Nothing in this section limits rights you have under the law that cannot be excluded.
10Limitation of liability
As far as the law allows, we are not liable for indirect or consequential losses, such as lost profit, revenue, data or goodwill. Our total liability for any claim relating to a particular product or service is limited to the amount you paid us for that product or service.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot legally be limited, including your statutory consumer rights.
11Using our website
Please use our website lawfully and fairly. You must not:
- try to hack, disrupt or overload the site, or introduce viruses or harmful code;
- use bots or scrapers to copy content or collect information;
- pretend to be another person or business; or
- submit false information through our forms.
We work to keep the website accurate and available, but it is provided for general information and may occasionally contain errors or be unavailable. We may suspend access to anyone who misuses it.
12Third-party services & links
Our website and services may link to or rely on other companies, such as hosting providers, payment services, couriers and social platforms. They have their own terms and privacy policies, and we are not responsible for their content or practices.
13Events beyond our control
We are not responsible for delays or failures caused by events outside our reasonable control, such as natural disasters, power or network outages, strikes, supply shortages, government action or civil disturbance. We will tell you as soon as we can and continue once the problem passes.
14Suspension & termination
You may end a service at any time by telling us in writing. Section 8 explains what happens to payments. We may suspend or end a service if you do not pay on time, break these terms, behave abusively towards our team, or use our work unlawfully. We will give notice where reasonably possible. Rights and amounts that have already arisen, and terms that are meant to continue, remain in force.
15Governing law & disputes
These terms are governed by the laws of the Federal Republic of Nigeria. If you have a complaint, please contact us first and we will try to resolve it fairly and quickly. If we cannot, we can agree to try mediation. The courts of Lagos State have jurisdiction, and you remain free to approach a regulator such as the FCCPC or the Nigeria Data Protection Commission.
16Changes to these terms & policy
We may update this page from time to time. The “Last updated” date at the top shows the latest version. Changes do not alter a job we have already agreed with you unless you agree. If you keep using our website or services after an update, you accept the updated version.

To use any of these rights, contact us using the details in section 28. We may need to confirm your identity first, and we will respond within the time the law requires. If you are not satisfied, you may complain to the Nigeria Data Protection Commission.
26Transfers outside Nigeria
Some of our providers, such as cloud, email or hosting services, may store or process information outside Nigeria. When this happens, we take steps to make sure your information stays protected as the NDPA requires, for example by using providers with adequate data protection, contractual safeguards or, where needed, your consent.
